The Company’s corporate governance system is structured in accordance with the regulations applicable to listed companies and the recommendations of the Spanish National Securities Market Commission (Comisión Nacional del Mercado de Valores – CNMV), with the aim of ensuring responsible and transparent management and fostering the creation of sustainable long-term value.
Governing Bodies:
The Company is governed by a Board of Directors, which is responsible for the direction, management and supervision of the Company’s activities, in accordance with the applicable regulations, the Company’s Articles of Association and the principles of sound corporate governance.
The Board of Directors acts in the best interests of the Company, defining the strategic guidelines and overseeing their implementation, as well as ensuring compliance with the legal and regulatory obligations applicable to a listed company.
In the performance of its duties, the Board of Directors is guided by principles of professionalism, due care, transparency and responsibility, and adopts its decisions having regard to the interests of the shareholders and the Company’s other stakeholders.
The functioning of the Board of Directors is aligned with the recommendations of the Spanish National Securities Market Commission (Comisión Nacional del Mercado de Valores – CNMV) on corporate governance.

WALID FAKHOURI
Chairman of the Board of Directors
With an MBA from City University in London, Walid has more than 20 years of management and business experience. He started his career in banking and moved quickly to top management positions. In 1995 he was appointed as Executive Manager for treasury and Investments and in 1999 held the position of Assistant General Manager at the bank of Jordan. In late 1999 he was appointed Chief Executive Officer for Arab Islamic Bank in Palestine and was later elected as Chairman of the Board. In 2013, he took over establishing and managing investments in Spain. Walid also held many positions as chairman and member of boards of directors in publicly traded companies both in the Middle East and Europe.
GEMA SANZ
With a BA in Law from Complutense University in Madrid, a postgraduate degree in labour law and social security from the Centre of Financial Studies, and Public Leadership training at IE. Gema Sanz currently manages Institutional Relations at Madrid Network.
Gema Sanz has led strategic clusters and projects such as Madrid Competitive Territory, aimed at bringing innovation and business activity closer to the municipalities. Gema has more than 16 years of experience in the Madrid administration, where she was a deputy in the Assembly of Madrid and a councilor in the Madrid City Council.
Gema combines her institutional work with a family rural tourism project in the province of Segovia. She is a leading figure in connecting the gap between business, government, and society, and was included in the Guide of Leading Women in Innovative Entrepreneurship in Spain, published by the Spanish Government, which recognizes outstanding women in the national entrepreneurial and innovative ecosystem.
IGNACIO ARAGÓN
With a BA in Law from the Autonomous University of Madrid, a Master in Legal Aid from Instituto de Empresa (IE), a Master in Communication Management from CESMA, as well as a Master in Business and law of energy from the Centro Universitario Villanueva, and a General Management Program (PDG) from IESE.
Ignacio Aragón practices law having worked in various prestigious national and international law firms in Spain and the United States. He is currently a Partner at Ramón y Cajal Abogados, where he heads the Corporate/M&A practice.
He is also an Associate Professor of Commercial Law at the Complutense University of Madrid, where he has served for nearly 15 years. He is a frequent speaker at business schools, seminars, and conferences on corporate law, mergers and acquisitions, and investments, both in Spain and the United States. Mr. Aragón writes for specialized journals and business publications on a variety of topics related to his professional practice.
RAMON VALLS
Ramón Valls holds a BBA in Business Administration and Hospitality Management from Glion Institute of Higher Education, in Switzerland. He has developed most of his hospitality career in Starwood Hotels & Resorts (later part of the Marriott International Group). Since 2004 he has been at different Hotel management positions across Latin America, Europe and Southeast Asia countries. Taking part and leading Hotel pre openings and Hotel transitions at different Hotel and F&B operators, including responsibilities in hotel investment projects and relationships with hotel owners.
He obtained a certificate in Hotel Real Estate Investment and Asset Management from Cornell University, in USA. Currently enrolled in Blasson Property Investment as Hotels & Hospitality Asset Manager and working on various projects by helping in adding value to the overall business performance and investment returns. Also, a member of the Board of Directors in Jaba Holdings.
ALI AL-AGGAD
Ali brings 30 years of executive and board level experience across private equity, consumer goods, industrial manufacturing, retail, and education. He is known for his disciplined approach to governance, ability to drive strategic transformation, and expertise in improving operational and commercial performance.
He holds an Executive MBA with distinction from London Business School and a Bachelor of Science in Chemical Engineering with honours from the Jordan University of Science & Technology.
Ali currently serves as a Board Member of Jaba I Inversiones Inmobiliarias SOCIMI S.A. His additional board roles include Chairman of New Vision for Electronics and Electrical Appliances, Vice Chairman of Sands National Academy, and Board Member of Baida Packaging and Qudurat Investments.
